1. Acceptance of Terms

By downloading, installing, or using Simple Subscription Manager (“the Plugin”), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not install or use the Plugin.

2. License Grant and Restrictions

2.1 Software License

TP Media Group grants you a non-exclusive, limited license to use the Simple Subscription Manager plugin (“Software License”) subject to the terms and conditions set forth in this Agreement.

2.2 Open Source Components

The PHP code portions of the Plugin are licensed under the GNU General Public License v2 or later (GPL-2.0+). You can read the full GPL license at: https://www.gnu.org/licenses/gpl-2.0.html

2.3 Proprietary Components

All JavaScript, CSS, imagery, iconography, design elements, and branding materials are licensed under a proprietary license and may not be redistributed, modified, or used separately from the Plugin without express written consent from TP Media Group.

2.4 What You Purchase

Your purchase includes:

  • Initial License Term: Twelve (12) months of Updates and Support (“Initial Subscription”)
  • Software License: Right to use the Plugin on the number of sites specified in your plan
  • Proprietary Assets: License to use the included CSS, JavaScript, images, and branding

Important: The GPL license applies ONLY to the PHP code. All other components remain proprietary property of TP Media Group.

2.5 What is NOT Included

The following are NOT included in the GPL license and require a valid, active subscription:

  • Software updates and upgrades
  • Technical support services
  • Access to premium features
  • License key and activation services
  • Proprietary JavaScript, CSS, images, and branding materials
  • Future add-ons and extensions

2.6 License Key

Your license key is personal to you and may not be shared, distributed, or transferred except as explicitly permitted in Section 10. Unauthorized distribution of license keys is a material breach of this agreement.

2.7 Restrictions

You may NOT:

  • Redistribute the Plugin (including its proprietary components) without a valid license
  • Remove or modify copyright notices, branding, or proprietary markings
  • Share or redistribute your license key
  • Use the Plugin on more sites than your license permits
  • Reverse engineer any proprietary components
  • Create derivative works using our proprietary CSS, JavaScript, or design assets

3. Subscription and Renewals

3.1 Initial Subscription

Twelve (12) months of Updates and Support, or such other term as specified at the time of purchase

3.2 Automatic Renewal

Unless you have purchased a lifetime license, or you cancel before the renewal date, your subscription will automatically renew for successive periods matching your initial subscription term. Renewal subscriptions provide continued access to:

  • Software updates
  • Technical support
  • License key validation
  • Premium features

3.3 Cancellation

You may cancel automatic renewal at any time. Upon cancellation or expiration:

    • You may continue using the Plugin version you have installed
    • You will NOT receive software updates
    • You will NOT receive technical support
    • Premium features may cease to function
    • License key validation may be disabled

Note: “Lifetime licenses do not require renewal and are not subject to cancellation terms”

3.4 Site Limitations

Using the Plugin on more than the maximum number of sites permitted by your license level is strictly prohibited and constitutes a material breach of this Agreement.

4. Payment & Billing

4.1 Payment Processing

All payments are processed securely by Freemius Inc., our payment service provider. When you purchase a license, your contract for payment processing is with Freemius.

4.2 Pricing Changes

We reserve the right to change pricing at any time. Price changes will not affect active subscriptions until their renewal date.

4.3 Refund Policy

We offer a 30-day money-back guarantee from your initial purchase date. Refunds are NOT available for:

  • Subscription renewals
  • Upgrades from one plan to another
  • License purchases older than 30 days

5. Intellectual Property Rights

5.1 Ownership

TP Media Group retains all ownership rights to:

  • The Plugin name and branding
  • All proprietary components (JavaScript, CSS, images, design)
  • Trademarks and service marks
  • All non-GPL code and assets

5.2 Trademarks

“Simple Subscription Manager” and related logos are trademarks of TP Media Group. You may not use these marks without prior written permission.

5.3 Third-Party Code

The Plugin may include third-party open-source components. These components are subject to their respective licenses and are clearly documented in the Plugin.

6. Support & Updates

6.1 Support Services

Support is a service, NOT part of the GPL-licensed code. Premium license holders with active subscriptions receive:

  • Email support during Dutch business hours
  • Access to our support portal
  • Response within 2-3 business days (target, not guaranteed)

Support is subject to fair usage policies.

6.2 Updates

Updates are a service, NOT part of the GPL-licensed code. Active subscription holders receive:

  • Automatic plugin updates
  • Security patches
  • New features and improvements
  • Compatibility updates

Updates cease when your subscription expires or is canceled.

6.3 No Updates Without Valid License

Without an active, valid license subscription, you will NOT receive updates. Using outdated software may pose security and compatibility risks.

7. Warranty Disclaimer & Compatibility

7.1 No Warranty

The Plugin is provided “AS IS” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Compatibility

We do not guarantee compatibility with all third-party plugins, themes, WordPress versions, hosting environments, or browsers. While we make reasonable efforts to ensure broad compatibility, conflicts may occur.

7.3 Your Responsibility

You are responsible for:

  • Maintaining proper backups of your website
  • Testing the Plugin in a staging environment
  • Ensuring your hosting environment meets minimum requirements
  • Securing your license key

8. Limitation of Liability

To the maximum extent permitted by applicable law:

8.1 No Consequential Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

8.2 Maximum Liability

Our total liability to you for any claims shall not exceed the amount you paid for your license in the 12 months preceding the claim.

9. Prohibited Uses

You may NOT:

  • Redistribute the Plugin through “GPL clubs,” “nulled” sites, or similar services
  • Remove or bypass license validation mechanisms
  • Share your license key with others
  • Use the Plugin for illegal purposes
  • Claim ownership of the Plugin or its components
  • Redistribute our proprietary JavaScript, CSS, images, or branding

Violation of these terms will result in immediate license termination without refund.

10. License Transfer

10.1 Transfer Conditions

You may transfer your license to another party ONLY if:

  • You provide written notice to TP Media Group
  • The transfer is approved by us (at our sole discretion)
  • The new license holder agrees to these Terms
  • There is no outstanding balance on the account

10.3 Transfer Limitations

  • Licenses may only be transferred once per year
  • Transferred licenses retain their original expiration date
  • Support transfers to the new license holder

11. Termination

11.1 Termination by You

You may terminate by:

  • Uninstalling the Plugin
  • Canceling your subscription
  • Ceasing all use

11.2 Termination by Us

We may terminate or suspend your license immediately if you:

  • Violate these Terms
  • Redistribute the Plugin or license key
  • Use the Plugin on more sites than permitted
  • Engage in fraudulent activity
  • Initiate chargebacks

11.3 Effect of Termination

Upon termination:

  • Your license key will be deactivated
  • You must cease all use of the Plugin
  • You must delete all copies of proprietary components
  • No refund will be issued for early termination due to breach

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by the laws of the Netherlands.

12.2 Arbitration

Any disputes shall be resolved through binding arbitration in the Netherlands, except where prohibited by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Continued use after changes constitutes acceptance.

We will notify license holders of material changes via email and dashboard notice.

15. Severability & Entire Agreement

If any provision is found unenforceable, it shall be limited to the minimum extent necessary while the remainder remains in effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TP Media Group.

Freemius Payment Processing:

Your commercial transaction and payment processing is handled by Freemius Inc. under their Terms of Sale. This agreement covers your use of the Plugin itself.

NOTICE

While the PHP code is GPL-licensed, the complete Plugin includes proprietary components that may NOT be redistributed. Additionally, support, updates, and license validation require a valid subscription purchased directly from TP Media Group or authorized resellers. Redistribution without these services violates the proprietary license for non-GPL components.
